Statement by Michael Butler
“Life Spine’s latest lawsuit — now driven entirely by its lender-controlled board — is a transparent act of retaliation for the legal action I filed on April 1, 2025 (attached).
As outlined in my Verified Complaint, I remain the majority shareholder of Life Spine, a company I founded and built into an industry leader. My lawsuit (which I attested to under oath unlike Life Spine’s recent complaint, which contains no such verification and makes patently untrue allegations) details how the lenders and their hand-picked directors have hijacked the Board, engaged in self-dealing, discriminated against and harassed employees who resigned as a result, blocked refinancing efforts that would have paid them in full, and prioritized their own financial interests and exit over the company’s health and value. Since the filing of my complaint, the lenders and their directors have continued to act unlawfully and take actions detrimental to Life Spine, its customers and the patients they serve.
I categorically deny the allegations in the complaint against me, which was filed at the direction of the lenders without regard to truth. A copy of the declaration I filed publicly in response to Life Spine’s (i.e., the lenders’ complaint) is attached for your review. As is clear, this lawsuit is part of an ongoing smear campaign by the Lenders and their directors that only further harms Life Spine, its employees, its partners, and its mission to serve patients.
